Regeneron ties executive pay to pipeline output, not revenue growth, signaling confidence in R&D engine

Regeneron’s board approved a 10-year performance award for its two co-founders that pays out almost entirely for filing and approving new drugs, not for hitting revenue targets, a structure that inverts the company’s recent financial reality: FY2025 revenue grew just 1.0% while operating margin held at 24.9%, yet the board is betting the pipeline will drive value ahead.

The performance units awarded to CEO Leonard Schleifer and Chief Scientific Officer George Yancopoulos span January 2026 through December 2035. Activity-based payouts reward 10,000 units per new drug filing and 15,000 units per FDA approval. Revenue-based payouts begin only in 2032 and require New Product Annual Revenues to reach $10 billion to earn the first 250,000 units, scaling to 900,000 units at $18 billion and 1,800,000 units at $30 billion. The CSO’s maximum opportunity is capped at 2,900,000 units; the CEO’s at 2,700,000 units.

What it means

The structure reveals the board’s diagnosis of Regeneron’s near-term problem: the company has approximately 50 product candidates in development but faces “increasing biosimilar and branded competition,” in the board’s language. Four approved medicines already generate more than $1 billion annually each, yet total revenue barely moved last year. Rather than penalize executives for a mature portfolio’s slow growth, the board is explicitly paying them to expand the pipeline itself, filings and approvals unlock cash before revenue materializes.

The revenue gates matter, but they arrive late. No revenue-based units can be earned until 2032, six years into the performance period. Before then, executives can accumulate only activity-based units, capped at 100,000 for the CEO and 300,000 for the CSO through 2031. This design prioritizes the filing and approval process as the primary value driver, treating revenue as a secondary confirmation that new products are actually selling. The board also allocated 75% of early activity-based opportunity to the CSO, recognizing his direct control over R&D output.

The document does not disclose how many of the 50 candidates are in late-stage development or what the board expects the filing rate to be. It also does not state whether the company has updated its revenue guidance or whether management believes $10 billion in new product revenue by 2032 is conservative or aggressive relative to the pipeline’s maturity. The relative TSR modifier, which adjusts payouts by plus or minus 20% based on Regeneron’s stock performance versus the NASDAQ Biotechnology Index, adds a market discipline but does not change the core bet: that the pipeline, not the current portfolio, will determine shareholder value.

What to watch

The next material disclosure will come in Regeneron’s 2026 annual proxy statement, which will detail how many new filings and approvals the company achieved in 2026 and whether the board certified any earnout under the activity-based metrics. That filing will also clarify the board’s view of which of the 50 candidates are most likely to reach FDA submission within the performance period.
