Abbott to split Nutrition into independent company with $8.5 billion in sales by end of 2027

Abbott announced plans to separate its Nutrition business into a standalone publicly traded company by the end of 2027, creating a $8.5 billion revenue entity focused on healthy nutrition while leaving Abbott with approximately $42 billion in sales concentrated on medical devices, diagnostics and established medicines.

The Nutrition company will operate with about 16,000 employees across 14 manufacturing sites, anchored by brands including Similac, PediaSure, Ensure, Glucerna and Pedialyte. Abbott will retain approximately 106,000 employees after the split. The separation will be structured as a tax-free distribution to Abbott shareholders, meaning each shareholder will own shares in both companies upon completion. Abbott stated the combined dividend from both entities will equal Abbott’s dividend at the time of separation.

Abbott said the planned separation will not affect its 2026 guidance or the 2027 guidance it plans to provide in January. The company will incur one-time charges related to the transaction during the periods before separation, though it has not yet quantified those costs. The Nutrition business will continue operating as part of Abbott throughout the separation process.

What it means

The split reflects a structural mismatch between two businesses with fundamentally different growth profiles and capital needs. Nutrition operates in a slower-growth, lower-margin segment anchored by established brands with durable demand; the remainder of Abbott pursues higher-growth innovation in devices and diagnostics where R&D intensity and margin expansion are the priority. As separate entities, each can optimize capital allocation and strategic focus without the other as a constraint. Abbott’s core business should be able to pursue acquisitions and investments in faster-growing segments; the Nutrition company can concentrate resources on brand innovation and emerging-market expansion within its category.

The timing and structure leave material questions unanswered. Abbott has not disclosed the Nutrition business’s current operating margin, growth rate, or profitability relative to the corporate average, making it impossible to assess whether the split materially changes Abbott’s consolidated margin profile or whether it simply separates a drag. The document states Abbott will have “accelerated sales growth” post-separation but provides no forward guidance for either entity. The one-time separation costs remain unquantified. The tax-free treatment depends on regulatory approval and IRS determination, which are not guaranteed despite the stated intent.

The announcement also does not address debt allocation between the two companies or how Abbott’s current leverage will be split, a critical variable for both entities’ financial flexibility and credit ratings post-separation.
